1. Introduction

Welcome to MetaFlow, an AI-powered application designed to analyze images and videos and to generate metadata and practical recommendations for stock and commercial use (the "Service").

The Service includes:

- The MetaFlow desktop software application.

- The website https://metaflowapp.xyz (the "Website").

- And related cloud-based AI processing features.

By accessing or using any part of the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms are a legal agreement between you and FlowApp, LLC. In these Terms, "we," "us," and "our" refer to FlowApp, LLC. The Service and Software are offered under the MetaFlow name and branding. Unless the context clearly refers only to the product or trade name (and not to the company), references to "MetaFlow" in these Terms also refer to FlowApp, LLC.

These Terms apply to all users of the Service, including free and paid users, and to all forms of access, including the desktop application, the Website, and any related features.

This Agreement should be read together with the MetaFlow End User License Agreement (EULA), Privacy Policy, and Refund Policy. In the event of a conflict, these Terms shall govern the use of the Service, unless expressly stated otherwise.

Together, these Terms and the referenced policies constitute the entire agreement between you and us regarding the Service.

2. Eligibility Requirements

2.1 Age Requirements

Minimum Age

You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction (whichever is higher), to access or use the Service. The Service is not intended for use by children.

Minor Use

If you are at least 13 years old but under the age of 18 (or under the age of legal majority in your jurisdiction), you represent and warrant that you have obtained the express consent of your parent or legal guardian to use the Service and to be legally bound by these Terms.

2.2 Use on Behalf of an Entity

If you access or use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms.

In such cases, all references to "you" or "your" in these Terms shall refer both to you as an individual and to the entity you represent, and you accept these Terms on behalf of that entity.

3. Account Registration

3.1 Registration Requirements

To use features of the Service and the Software, you need required to create an account.

You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at contact@metaflowapp.xyz if you become aware of any unauthorized access to or use of your account.

We are not responsible for any loss or damage resulting from your failure to safeguard your account credentials.

3.3 Account Restrictions

Your account is personal and may not be shared, sold, assigned, sublicensed, or transferred to any third party.

You may not allow others to access or use the Service through your account.

We reserve the right to suspend or terminate accounts that violate these Terms or compromise the security or integrity of the Service.

4. Service Description

4.1 Service Content

We provide AI-powered tools designed to assist users in preparing images and videos for stock and commercial use. The Service may include, but is not limited to:

- Image analysis: technical and visual quality assessment.

- Metadata generation: titles, descriptions, keywords, and category suggestions for stock platforms.

- Compliance guidance: identification of potential editorial, release, trademark, or usage risks (advisory only).

- Workflow utilities: batch processing, presets, and export formats to support stock submission workflows.

All outputs generated by the Service are informational and recommendational in nature. We do not guarantee acceptance by any stock platform or third-party service. Final decisions regarding usage, submission, licensing, and compliance remain solely with the user.

4.2 Service Changes

We may update, modify, suspend, or discontinue the Service or any part of it at any time, including features, models, limits, or availability.

We will make reasonable efforts to provide advance notice of material changes when practical, but are not obligated to do so.

4.3 Regional Access and Connectivity

Access to the metadata generation and AI-powered features of the Service may depend on connectivity to third-party infrastructure. In some regions of the world, the Service may be unavailable or unstable without the use of a virtual private network (VPN) or similar means. We do not guarantee availability or performance in any specific territory. You are responsible for ensuring that you can access and use the Service in your location before purchasing subscriptions or tokens. We recommend verifying that the Service works correctly in your environment (including via VPN if applicable) before making any paid purchase.

4.4 Location (Shoot Location) Determination

The Service may determine the shooting location of an image or video. When this feature is enabled, the Service first uses GPS coordinates from the image EXIF data when available. Using location from EXIF (GPS) is free. If no GPS data is present and the setting for AI-based location determination is enabled in the application, the AI model may attempt to infer the location from the image; in that case tokens are charged. Success is not guaranteed. The feature works best for well-known, recognizable places (e.g. the Colosseum, the Eiffel Tower). Generic or natural settings (e.g. a photo of mountains, a field, or a forest) or unknown locations are often not identified.

5. User Conduct Standards

5.1 Permitted Use

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service and Software solely for lawful purposes and strictly in accordance with these Terms, the End User License Agreement (EULA), and applicable laws.

You agree to use the Service and Software only for their intended purpose, which is:

- Analyzing images and videos using AI-powered tools.

- Generating informational metadata, assessments, and practical recommendations.

The Service is provided as a productivity and decision-support tool and does not replace independent professional, legal, or platform-specific review.

5.2 Prohibited Conduct

To ensure the security, stability, and integrity of the Service and Software, you agree that you will NOT:

- Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code, underlying ideas, models, or algorithms of any part of the Service or Software.

- Use automated tools, scripts, bots, crawlers, or similar methods to access, interact with, scrape, or exploit the Service without prior written authorization.

- Interfere with, disrupt, overload, probe, or attempt to compromise the Service, Software, servers, or related infrastructure.

- Bypass, disable, manipulate, or attempt to circumvent usage limits, licensing restrictions, activation mechanisms, subscription controls, or security features.

- Use the Service or Software for any illegal, deceptive, abusive, or unauthorized purpose.

- Use the Service or Software in any manner that violates applicable local, national, or international laws or regulations.

We reserve the right to restrict, suspend, or terminate access to the Service or Software in the event of violations of this section.

5.3 Content Policy

We do not host, publish, or distribute user content.

Any images, videos, or other materials processed through the Service remain the sole responsibility of the user.

If we publish additional usage rules or content-related guidelines ("Content Policy"), such rules apply to the use of the Software and Service, including AI analysis, recommendations, and outputs.

You agree that:

- You are solely responsible for the content you upload, analyze, or process using the Software.

- You have all necessary rights, permissions, and consents to use such content.

- AI-generated outputs are informational and advisory only and do not replace legal, editorial, or platform-specific review.

Violation of applicable Content Policy, these Terms, or misuse of the Software may result in feature limitations, suspension, or termination of access to the Service.

We may update the Content Policy from time to time. Continued use of the Software constitutes acceptance of the updated rules.

6. User Content and Intellectual Property Rights

6.1 Platform Intellectual Property Rights

All intellectual property rights in the Website, the Service, the Software, and all materials provided by us (including but not limited to software, source code, algorithms, AI models, text, graphics, logos, interfaces, and trademarks) are owned by us or our licensors.

Except as expressly stated in these Terms or the End User License Agreement, no rights or licenses are granted to you in respect of the Service or Software.

6.2 User Input Content

You and/or the original rights holders retain all ownership and intellectual property rights in any content you submit to the Service or Software, including but not limited to text prompts, images, and videos ("User Input").

By submitting User Input, you represent and warrant that:

- You own or have obtained all necessary rights, licenses, and permissions to use and submit such content.

- Your User Input does not infringe or violate any third-party rights, laws, or regulations.

Use of the Service does not transfer ownership of your User Input to us.

6.3 Generated Content (Output)

As between you and us, you own the content generated for you by the Service ("Output").

Legal Disclaimer: Ownership, copyright status, and protectability of AI-generated content may vary by jurisdiction and are subject to evolving laws. We do not provide legal advice regarding intellectual property rights in Output.

User Responsibility: You are solely responsible for reviewing, validating, and determining whether your Output is suitable for any intended use, including commercial use or submission to stock platforms, and for ensuring it does not infringe third-party rights.

6.4 Limited License Granted to Us

By submitting User Input to the Service or Software, you grant us a limited, worldwide, non-exclusive, royalty-free license to process, store, and use such content solely as reasonably necessary to:

- Provide the Service and Software to you, including generating Output.

- Operate, maintain, secure, and improve the Service and Software.

- Detect, prevent, and address fraud, abuse, or technical misuse.

- Comply with applicable legal obligations.

We do not sell your media or generated Output.

We do not publicly display, distribute, or use your media or Output for marketing purposes without your separate, explicit consent.

7. AI-Generated Content Disclaimer

You understand and agree to the following regarding any content, analysis, or recommendations generated by the Service or Software ("Output"):

7.1 Informational and Advisory Nature

The Service uses automated and evolving artificial intelligence technologies to analyze media and generate Output.

All Output is provided for informational and advisory purposes only and does not constitute legal, commercial, or professional advice.

We do not guarantee that any Output will be accurate, complete, current, legally compliant, or suitable for any specific purpose.

7.2 No Warranty on Output

We do not warrant or guarantee:

- The accuracy, completeness, or correctness of any Output.

- Acceptance of Output by any stock platform or third-party service.

- Compliance of Output with the policies, guidelines, or requirements of any external platform.

Output may contain errors, omissions, inconsistencies, or unintended similarities to existing works and does not represent the views or positions of MetaFlow.

7.3 Third-Party Rights and Copyright Risks

We do not warrant that Output is free from potential intellectual property, trademark, privacy, or publicity rights issues.

You are solely responsible for:

- Reviewing Output before use.

- Conducting any required legal or rights clearance.

- Determining whether Output is suitable for commercial use, publication, or submission to stock platforms.

7.4 User Responsibility and Assumption of Risk

You assume all risks associated with your use of Output.

We shall not be liable for any claims, losses, damages, disputes, or liabilities arising from your use, publication, or commercialization of Output, including third-party claims or platform rejections.

You acknowledge that independent human review and professional judgment are required before using Output in any critical, legal, or commercial context.

8. Subscription Management and Billing

8.1 Payment Finality

Payments for subscriptions and credit purchases are generally final once access to the Service or Software is granted or credits are made available, except where refunds are expressly required by applicable law or explicitly permitted under Section 9 (Refund Policy).

By completing a purchase, you acknowledge that delivery of digital services begins immediately.

8.2 Subscriptions and Auto-Renewal

We may offer subscription plans (such as monthly or annual subscriptions) that provide access to paid features of the Service and Software.

Unless canceled before the end of the current billing period, subscriptions may renew automatically for the same duration at the then-current rate.

You may cancel your subscription at any time through:

- Your account settings (if available), or

- By contacting us at contact@metaflowapp.xyz.

After cancellation, you will retain access to paid features until the end of the current billing period. No prorated refunds are provided for unused time unless required by law.

8.3 Plan Selection and Responsibility

You are responsible for reviewing and selecting the appropriate subscription plan or billing cycle at checkout.

Changes to plans, billing cycles, or pricing commitments (including annual plans) may not be possible once the subscription term has started. Fees incurred due to an incorrect plan selection are non-refundable unless otherwise required by law.

8.4 Displayed Prices and Payment Provider Charges

Prices shown on the Website and in the Software (including subscription plans and token packages) are stated by us in U.S. dollars ($) and do not include any additional fees, surcharges, or commissions imposed by third-party payment processors (including, without limitation, Stripe, NOWPayments, and any other payment providers we may use). The total amount you pay at checkout may differ from the displayed price and depends on the payment method and payment provider you select (for example, card processing fees, network or blockchain fees, currency conversion, or taxes calculated and collected by the payment provider or as required by applicable law). You are responsible for reviewing the final amount presented by the payment provider before confirming your purchase.

9. Refund Policy

9.1 Subscriptions (No Refunds)

Subscription fees are non-refundable once the subscription period has started, except where refunds are expressly required by applicable law.

If you cancel your subscription, it will remain active until the end of the current billing period and will not renew. No refunds or credits are provided for any unused time.

9.2 Credits (Limited Refunds)

Credits are digital services and are generally non-refundable.

However, we may consider a refund for credit purchases only if all of the following conditions are met:

- The refund request is submitted within 14 days of the purchase date.

- No credits from the relevant purchase have been used, transferred, or consumed.

- The request is made in good faith and includes valid proof of purchase.

Refunds are not available once any credit from the purchase has been used.

9.3 Billing Errors

If you believe you were charged incorrectly (for example, due to duplicate or erroneous charges), please contact us at contact@metaflowapp.xyz.

If a billing error is confirmed, we will correct the error or issue an appropriate refund.

9.4 How to Request a Refund

To request a refund, please email contact@metaflowapp.xyz and include:

- Your account email (if applicable).

- Proof of payment.

- A brief explanation of your request.

We will review your request and respond within a reasonable timeframe.

9.5 Chargebacks and Disputes

Before initiating a chargeback or payment dispute, you agree to contact us first to attempt a resolution.

Unauthorized, abusive, or fraudulent chargebacks may result in account suspension, termination, and restriction of access to the Service or Software.

10. Referral Program

10.1 Program Overview

We offer a referral program that allows registered users to earn rewards by inviting others to use the Service.

Each user receives a unique referral code (promo code) that can be shared with friends, colleagues, or other potential users.

Referral rewards are earned when a referred user registers using your referral code and makes a qualifying purchase (subscription or token purchase).

10.2 Reward Tiers

Referral rewards are calculated as a percentage of the referred user's qualifying purchase amount. The reward percentage depends on the referrer's tier level:

- Tier 1: 10% reward (0-10 qualifying referrals).

- Tier 2: 15% reward (after reaching the required number of referrals).

- Tier 3: 20% reward (after reaching the required number of referrals).

Only referrals who have made a qualifying purchase (subscription or tokens) count toward tier progression.

10.3 Reward Types

- Subscription purchases: rewards are paid in dollars ($) and can be withdrawn to PayPal.

- Token purchases: rewards are credited as tokens to your account balance.

10.4 Reward Availability and Payout

- Pending rewards typically become available within 30 days after the referred user's purchase.

- PayPal withdrawals are processed within 7 business days.

- Minimum withdrawal amount is $100.

10.5 Reward Validity Period

Referral rewards are calculated based on purchases made by referred users within one (1) year from their registration date. Purchases made after this period do not generate referral rewards.

10.6 Consent to Share Purchase Information

By entering a referral code during registration, you consent to our sharing limited information about your purchases with the user who referred you. This information is shared solely for the purpose of fair and transparent reward calculation and includes:

- Your first name and last name.

- Date of purchase.

- Type of purchase (subscription or tokens).

No other personal information, payment details, or account data is shared with the referring user.

10.7 Program Modifications and Termination

We reserve the right to modify, suspend, or terminate the referral program at any time, with or without notice.

Any earned and confirmed rewards at the time of program termination will be honored, but pending or future rewards may be affected.

10.8 Abuse and Fraud Prevention

Referral rewards obtained through fraudulent, abusive, or deceptive means (including but not limited to self-referrals, fake accounts, or incentivized sign-ups that violate these Terms) may be revoked, and the associated accounts may be suspended or terminated.

11. Fraud and Abuse

11.1 Prohibited Conduct

To protect the integrity, security, and fair use of the Service and Software, we strictly prohibit any activity that constitutes fraud or abuse, including but not limited to:

- Using stolen, unauthorized, or fraudulent payment methods.

- Attempting to exploit system vulnerabilities, bugs, or technical errors to obtain unpaid access, subscriptions, credits, or features.

- Submitting false, misleading, or bad-faith refund requests or chargebacks.

- Creating multiple accounts to bypass usage limits, subscription restrictions, free trials, promotional offers, or referral program rules.

- Reselling, sharing, transferring, or providing unauthorized access to accounts, subscriptions, credits, or the Software.

- Using the Service or Software in a manner intended to circumvent licensing, billing, or technical safeguards.

11.2 Enforcement Measures

If we detect or reasonably suspect fraud, abuse, or misuse of the Service or Software, we reserve the right to take appropriate action, including without limitation:

- Temporary suspension or permanent termination of your account without prior notice.

- Revocation of access to the Service, Software, subscriptions, or credits obtained through prohibited conduct.

- Invalidation of unused credits or subscriptions associated with abusive activity.

- Recovery of financial losses, including reasonable administrative or processing costs.

- Reporting fraudulent activity to relevant payment providers or authorities where required by law.

11.3 Chargeback Disputes

We encourage users to contact us at contact@metaflowapp.xyz to resolve any billing or payment concerns before initiating a chargeback.

Initiating a chargeback without a good-faith attempt to resolve the issue with us may result in immediate account suspension or termination.

We reserve the right to provide transaction records, usage logs, and other relevant evidence to payment processors to contest fraudulent or abusive chargebacks.

12. Third-Party Services

12.1 Third-Party Links

The Service may contain links to third-party websites or services that are not operated or controlled by us.

We do not control and are not responsible for the content, availability, privacy policies, or practices of any third-party websites or services.

Your access to and use of any third-party links is at your own risk.

12.2 Third-Party Service Providers

The operation of the Service may depend on third-party service providers, including but not limited to:

- AI processing and analysis providers (such as OpenAI).

- Payment processors and financial service providers (such as NOWPayments).

- Cloud infrastructure, hosting, and data processing providers.

These third-party providers operate under their own terms of service and privacy policies.

We do not control and are not responsible for the actions, performance, availability, or data practices of such third-party providers.

Your use of the Service constitutes acknowledgment that certain features may rely on third-party systems outside of our direct control.

13. Disclaimers

13.1 Service Availability

The Service and Software are provided on an "as available" basis. We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service or Software.

13.2 No Warranties

To the maximum extent permitted by applicable law, we expressly disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of:

- Merchantability.

- Fitness for a particular purpose.

- Non-infringement.

- Accuracy, reliability, or completeness of results.

13.3 As-Is Disclaimer

THE SERVICE AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that:

- The Service or Software will meet your specific requirements.

- Any generated results or recommendations will achieve intended outcomes.

- The Service or Software will be compatible with third-party software, platforms, or systems.

- Errors, defects, or interruptions will be corrected.

Without limiting the foregoing, we and our service providers make no representations or warranties regarding:

(i) the operation or availability of the Service or Software.

(ii) uninterrupted or error-free performance.

(iii) the accuracy, reliability, or timeliness of any content, analysis, or recommendations produced by the Service.

14. Limitation of Liability

14.1 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, loss of goodwill, or loss of use, arising out of or related to your use of the Service or Software, even if we have been advised of the possibility of such damages.

14.2 Liability Cap

To the maximum extent permitted by applicable law, our total cumulative liability for any claims arising out of or relating to the Service or Software shall not exceed the total amount actually paid by you to us for the specific paid feature, subscription, or credits giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, licensors, and their respective officers, directors, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(i) your access to or use of the Service or Software.

(ii) your violation of these Terms, the End User License Agreement, or any applicable law or regulation.

(iii) your infringement or alleged infringement of any third-party rights, including intellectual property, privacy, or publicity rights, related to the media files you upload or analyze.

(iv) your use, publication, submission, or commercial exploitation of metadata, analysis results, or recommendations provided by the Service.

(v) any claims brought by third parties (including stock platforms) arising from your reliance on or use of the Service's analytical or advisory outputs.

We do not create, generate, or publish user media content and are not responsible for final usage decisions made by the user.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses.

16. Termination

16.1 Termination by User

You may terminate your account at any time by discontinuing use of the Service and, where applicable, deleting your account through the Software or by submitting a deletion request to our support team at contact@metaflowapp.xyz.

Upon termination, your right to access and use the Service and the Software will immediately cease.

16.2 Termination by Us

We may suspend or terminate your access to the Service or Software, in whole or in part, at any time, with or without prior notice, if:

- You violate these Terms, the End User License Agreement, or applicable laws.

- Your use of the Service poses a security, legal, or operational risk.

- Required to do so by law or regulatory authorities.

We may also suspend access temporarily for maintenance, security, or technical reasons.

16.3 Effect of Termination

Upon termination:

- All licenses and rights granted to you under these Terms and the End User License Agreement will immediately cease.

- You must stop using the Service and uninstall the Software.

- Any unpaid obligations incurred prior to termination remain payable.

Fees already paid are non-refundable, except where refunds are required by applicable law or explicitly provided under the Refund Policy.

Provisions which by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, and governing law.

17. Dispute Resolution

If you have any questions, concerns, or disputes arising out of or relating to the Service, the Software, or these Terms, you agree to first contact us at contact@metaflowapp.xyz and attempt to resolve the matter informally in good faith.

If the dispute cannot be resolved through informal communication, it shall be resolved in accordance with applicable law, without prejudice to any mandatory consumer protection rights available under your local jurisdiction.

18. General Terms

Entire Agreement

These Terms, together with the MetaFlow End User License Agreement (EULA), Privacy Policy, and Refund Policy, constitute the entire agreement between you and us regarding your access to and use of the Service and the Software.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

19. Changes to Terms

We reserve the right to update or modify these Terms at any time.

Notification of Changes

When we make material changes, we will provide reasonable notice by updating the Terms on the Website, within the Software, or by email where appropriate.

Effective Date

Updated Terms become effective upon publication unless stated otherwise.

Your continued access to or use of the Service or Software after the effective date constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and the Software.
